Treering Memories Partner Terms of Service

1. Acceptance of terms

These Partner Terms of Service (the "Terms") govern your participation in the Treering Memories Gifting Program (the "Program"). By creating a Treering Memories partner account, you agree to be bound by these Terms. If you do not agree, do not create an account or participate in the Program.

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" and "Partner" refer to that organization.

2. Definitions

• "Treering," "we," "us," or "our" means Treering and its affiliates that operate Treering Memories
• "Partner" or "you" means the individual or organization that creates a Treering Memories partner account
• "Guest" means a person the Partner designates to receive a gifted photobook, or a person who purchases a photobook through the Treering Memories website
• "Partner Portal" means the online platform Treering provides for managing a partner account

3. Gift photobooks

Photobooks are available at the following prices:

Shipping is charged separately from the photobook price.

3.3 Price changes

Treering may update pricing at any time. Price changes will not affect gifts purchased before the change takes effect.

3.4 Partner branding

Partners may upload their organization's logo for inclusion on photobooks. By uploading a logo, the Partner:

• represents and warrants that it has all rights necessary to use the logo and to grant the permission below; and
• grants Treering a non-exclusive, royalty-free permission to reproduce the logo solely to create, fulfill, and deliver photobooks.

3.5 Gift redemption

Each purchased gift is associated with the Guest the Partner designates. Treering may send reminder emails or other communications to encourage Guests to redeem their gifted photobook.

3.6 Redemption period, automatic fulfillment, and expiration

Each gift must be redeemed within 365 days of the date of purchase (the "Redemption Period"). A gift is redeemed when the Guest completes and submits their photobook for production.

If a gift has not been redeemed by the end of the Redemption Period:

1. Expiration. If the Guest has not uploaded any content, or no shipping address is on file, the gift will expire. Expired gifts cannot be redeemed and are not eligible for a refund or credit.

Treering will send reminder communications to the Guest before the end of the Redemption Period. Partners are responsible for informing their Guests of the Redemption Period.

3.7 No refunds

All gift purchases are final and are not eligible for refunds, including gifts that expire under Section 3.6

4. Partner responsibilities

Partners agree to:

• provide accurate and complete partner and Guest information, and keep it up to date;
• use Treering Memories branding and marketing materials only as provided or approved by Treering; and
• comply with all applicable laws and regulations when promoting Treering Memories.

5. Treering responsibilities

Treering will:

• produce and fulfill photobooks;
• provide customer support for Treering Memories products; and
• maintain the Partner Portal and related services.

6. Intellectual property

All Treering trademarks, logos, product designs, and other intellectual property remain the sole property of Treering. Nothing in these Terms transfers ownership of any Treering intellectual property to the Partner.

Subject to these Terms, Treering grants the Partner a limited, non-exclusive, non-transferable, revocable license to use approved Treering Memories marketing assets solely to promote Treering Memories. This license ends automatically when the Partner's participation in the Program ends.

7. Account suspension

Treering may suspend or terminate a partner account if the Partner violates these Terms or engages in fraudulent, unlawful, or misleading activity.

8. Termination

Either party may terminate participation in the Program at any time. Termination does not affect purchases completed or referral commissions earned before the effective date of termination.

9. Changes to these terms

Treering may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Continued participation in the Program after an update constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

11. General

• Entire agreement. These Terms are the entire agreement between the Partner and Treering regarding the Program.
• Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
• No waiver. Treering's failure to enforce a provision is not a waiver of its right to do so later.
• Relationship. The Partner is an independent party; nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
